(NASDAQ: UPXI) entered into a securities purchase agreement with an existing accredited investor for the sale of 12,242,300 shares of common stock at approximately $1.60 per share, structured as debt reduction totaling approximately $19.5 million before deducting legal and other offering fees, the Solana-focused digital asset treasury company and consumer brands owner announced June 22.
The transaction allows the investor to purchase pre-funded warrants in lieu of common stock. The debt conversion pricing represents a mechanism to restructure Upexi's balance sheet by converting existing obligations into equity at a fixed per-share price.
